1. ACCEPTANCE OF TERMS
By accessing or using PureAgentive (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms are governed by Belgian law. Mandatory consumer protections applicable in your habitual residence are preserved where applicable (Rome I Regulation Art. 6).
2. DESCRIPTION OF SERVICE
PureAgentive is a multi-tenant platform for creating, deploying, and monetizing AI-powered agents with text chat, voice, video avatars, and live broadcast capabilities. The Service includes agent configuration, knowledge management, conversation hosting, analytics, and monetization features.
3. ACCOUNTS
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access.
Each account belongs to a tenant organization. Tenant owners and administrators are responsible for managing team member access and permissions.
4. ACCEPTABLE USE
You agree not to:
- Use the Service to create agents that generate illegal, harmful, or deceptive content
- Upload malicious files or attempt to compromise platform security
- Violate the intellectual property rights of others
- Use agents to impersonate real individuals without authorization
- Circumvent content rating restrictions or safety guardrails
- Exceed your plan's usage limits through automated means
5. CONTENT AND INTELLECTUAL PROPERTY
You retain ownership of content you upload to the platform (knowledge bases, documents, agent configurations). You grant PureAgentive a limited license to process this content solely to provide the Service.
AI-generated content produced by agents is subject to the terms of the underlying AI model providers. You are responsible for reviewing and verifying AI outputs before relying on them.
6. PLANS AND BILLING
The Service offers FREE, STARTER, PROFESSIONAL, and ENTERPRISE plans. Paid plans are billed on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period.
Token-based monetization: If you enable token purchases for your agents, transaction fees apply as specified in your plan. End-user token purchases are processed through Stripe.
For consumers based in Belgium and the EU, prices displayed include VAT/BTW where applicable under Belgian law and EU VAT rules.
7. RIGHT OF WITHDRAWAL (EU CONSUMERS)
If you are a consumer within the meaning of Belgian and EU consumer law, you have the right to withdraw from a subscription contract without giving any reason within 14 calendar days of conclusion of the contract (Directive 2011/83/EU; Belgian Code of Economic Law Art. VI.47 et seq.).
Exception: You acknowledge that by accessing and using the Service immediately after subscription, you consent to the immediate commencement of performance and you agree that you lose your right of withdrawal once the digital service has been fully performed (CDE Art. VI.53, 13°). For ongoing subscriptions, this exception applies from the moment you first access the paid features.
To exercise the right of withdrawal before the exception applies, contact legal@pureagentive.com with a clear statement of your decision. You may use the following model withdrawal statement: "I hereby give notice that I withdraw from my contract for the provision of the PureAgentive Service, concluded on [date], Name: [name], Address: [address], Date: [date]."
8. CONTENT MODERATION
We enforce content policies to maintain platform safety. Content ratings (G, PG, PG-13, PG-16, PG-18) apply to agent configurations. Violations may result in agent suspension, account restrictions, or termination. Our trust and safety agent, Sentinel, handles content reports and enforcement.
9. SERVICE AVAILABILITY
We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability.
10. PROFESSIONAL USERS VS CONSUMERS
If you are accessing the Service in the course of your trade, business, or profession (a "Professional User"), you explicitly acknowledge that you are not acting as a consumer within the meaning of Belgian consumer law. Certain consumer protections (including but not limited to the right of withdrawal under Section 7) do not apply to Professional Users. 11. LIMITATION OF LIABILITY
To the maximum extent permitted by Belgian law, PureAgentive shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
Important: Nothing in these Terms excludes or limits PureAgentive's liability for gross negligence (faute grave / grove fout) or wilful misconduct (dol / bedrog), which cannot be excluded under Belgian law. Mandatory statutory consumer protections (including those under the Belgian Code of Economic Law) are preserved in full.
12. INDEMNIFICATION
You agree to indemnify PureAgentive against claims arising from your use of the Service, content you upload, or agents you deploy.
13. FORCE MAJEURE
Neither party shall be liable for any failure or delay in performance to the extent caused by circumstances beyond their reasonable control, including but not limited to: pandemic or public health emergency, cyberattack or distributed denial-of-service attack, natural disaster, regulatory action or government order, or failure of third-party infrastructure. The affected party must notify the other promptly and take reasonable steps to mitigate the impact.
14. DISPUTE RESOLUTION
Belgian consumers may use the following out-of-court dispute resolution options before or instead of court proceedings:

These services are free of charge for consumers and do not affect your right to bring proceedings in court.
15. GOVERNING LAW AND JURISDICTION
These Terms are governed by Belgian law. Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.
Mandatory consumer protections applicable in the consumer's country of habitual residence are preserved in accordance with Rome I Regulation Art. 6 and applicable Belgian consumer law.
16. SEVERABILITY
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Cookies Policy, and (for B2B tenants) the Data Processing Agreement, constitute the entire agreement between you and PureAgentive regarding the Service and supersede all prior agreements and understandings.
18. CHANGES TO TERMS
We may update these Terms periodically. For material changes affecting paid subscribers, we will provide at least 30 days' advance notice by email. Consumers may terminate their subscription without penalty during this notice period if they do not accept the new Terms. Continued use after the effective date of changes constitutes acceptance.
19. TERMINATION
We may suspend or terminate your account for violations of these Terms. You may delete your account at any time by contacting support.
